1. Introduction

Welcome to Sahyadri Biolabs Limited (SB). Access to and use of this site is subjected to the discretion of SB and all applicable laws This document is an electronic record in terms of Information Technology Act, 2000 and published in accordance with the provisions of Rule (3) of the Information Technology (Intermediaries guidelines) Rules, 2011 that require publishing the rules and regulations, privacy policy and Terms of Use for access or usage of platform - https://www.amrutveni.com(hereinafter referred to as "SB Platform").

For the purpose of these Terms of Use, wherever the context so requires "You" or "User" shall mean and include any natural or legal person who has visited or agreed to become a buyer on SB Platform by providing data while registering on the SB Platform as Registered User. The term "Us", "Our" shall mean SB and its affiliates and subsidiaries. This electronic record is generated by a computer system and does not require any physical or digital signatures.

By accessing and browsing the SB Platform, you signify your acceptance of the terms and conditions described in this TERMS OF USE without limitation or qualification, Privacy Policy and all other Policies which are applicable and mentioned on SB Platform for User. SB may amend these TERMS OF USE at any time by posting a revised version on SB Platform. The revised version will be effective from the time SB post it.

2. User Registration

User of the SB Platform should check and comply with the provisions related to Indian Contract Act, 1872 or any other applicable law to become the registered by following the instructions as visible on the Platform at the time of registration.

You shall also be responsible for maintaining the confidentiality of your Display Name and Password and You shall be responsible for all activities that occur under your Display Name and Password. You agree that if You provide any information that is untrue, inaccurate, not current or incomplete, SB shall have the right to indefinitely suspend or terminate or block access on the SB Platform.

3. License

SB grants you a limited, non-exclusive, non-transferable, non-sub licensable license to access, and make personal and non-commercial use of the Site. All rights not expressly granted to you in these Terms of Use, are reserved and retained by the Site and its affiliates. SB reserves the right, at any time, without notice, and at its sole discretion, to terminate your license to use the Site and to block and prevent your future access the Site.

4. Communication

When You use the PLATFORM or send emails or other data, information or communication to us, You agree and understand that You are communicating with Us through electronic records and You consent to receive communications via electronic records from Us periodically and as and when required. SB may communicate with you by email or by such other mode of communication, electronic or otherwise. Further You are aware that by way of use of this SB Platform and communications with SB you may share Data or Information to Us.

5. User Content

You understand that the information including but not limited to photo, image, communication, text, data, messages, or other materials transmitted, uploaded, posted, emailed or otherwise made available to us ("User Content"), are your responsibility and SB will not be held responsible, in any manner whatsoever, in connection to the User Content provided by you to SB. You agree and confirm to not encourage or assist or engage others as well as yourself in transmitting, hosting, displaying, uploading, modifying, publishing transmitting, updating or sharing any information that:

1. belongs to another person and to which the user does not have any right to;
2. is grossly harmful, harassing, blasphemous defamatory, obscene, pornographic, paedophilic, libelous, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever;
3. harm minors in any way;
4. infringes any patent, trademark, copyright or other proprietary rights;
5. violates any law for the time being in force;
6. deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
7. impersonate another person;
8. contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource;
9. threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nation.

SB shall in no way be held responsible for examining or evaluating User Content, nor does it assume any responsibility or liability for the User Content. SB does not endorse or control the User Content transmitted or posted on SB Platform by you and therefore, accuracy, integrity or quality of User Content is not guaranteed by SB.

However, You understand and acknowledge that in case of non-compliance with applicable laws including rules and regulations, this user agreement and privacy policy for access or usage of SB Platform, SB has the right to immediately terminate the access or usage rights of the users to SB platform and remove such non-compliant information without any reference to same.

6. Exactness of the Product

The images of the items on SB Platform are for illustrative purposes only. Although we have made every effort to display the colours accurately, we cannot guarantee that your computer's display of the colours accurately reflect the colour of the items. Your items may vary slightly from those images. We take all reasonable care to ensure that all details, descriptions and prices of items are as accurate as possible.

7. Intellectual Property

SB Platform contains many valuable trademarks, names, titles, logos, images, designs, copyrights and other proprietary materials owned, registered and used by SB. All material on SB Platform, including images, illustrations, audio clips, and video clips, are protected by copyrights, trademarks, and other intellectual property rights, whether registered or not, are the property of SB and is solely for Your personal, non-commercial use. You are not authorised to copy, reproduce, republish, upload, post, transmit or distribute such material in any way, including by email or other electronic means and whether directly or indirectly and also You must not assist any other person to do so. Without the prior written consent of the SB, modification of the materials, use of the materials on any other SB or networked computer environment or use of the materials for any purpose other than personal, non-commercial use is a violation of the copyrights, trademarks and other proprietary rights, and is strictly prohibited. Any use for which You receive any remuneration, whether in money or otherwise, is a commercial use for the purposes of this clause.

8. Confidential Information:

Unless expressly authorized by the other party, neither party shall disclose to any third party any information or materials provided by the other party under the Agreement and reasonably understood to be confidential “(Confidential Information”), or use such Confidential Information including the content of the SB platform and products in any manner other than to perform its obligations under the Agreement. Furthermore, you will ensure that you or your authorized users will keep in strict confidence all passwords and other access information to Services.

9. Posting On Platform:

Except permitted by SB expressly, the right to post anything on SB Platform is the legal right of SB only. If any third party knowingly or unknowingly breaching of this term then SB shall have the right to take the legal action as per the applicable laws. Information on the Site is subjected to change without notice. Use of and browsing the Site is done at user's own risk. The products available on SB Platform and the free samples, if any, that SB may provide you along with your purchase, are for your personal use only. The products or samples, which you may receive from us, shall not be sold or resold for any/commercial purpose.

10. Privacy Policy

SB understands the importance of safeguarding your personal information and for that SB has formulated a Privacy Policy, to ensure that your personal information is safe and protected. The Privacy Policy shall also govern your visit and use of SB Platform read with these Terms of Use. Your continued use of SB Platform implies that you have read and accepted the Privacy Policy and agree to be bound by its terms and conditions.

11. Disclaimer of Warranties And Liability:

SB Platform, Materials and information or content including but not limited to software or any application and services, included on or otherwise made available to You through this SB Platform are provided on “as is” and “as available” basis without any representation or warranties, express or implied except otherwise specified in writing. Without prejudice to the forgoing paragraph, SB neither warrants that online Platform will be constantly available, or available at all; nor the information on this SB Platform is complete, true, accurate or non-misleading. SB will not be liable to You in any way or in relation to the Materials of, or use of, or otherwise in connection with, the SB Platform. Further SB does not warrant that this SB Platform; information, content, Materials, product including software or application or services included on or otherwise made available to You through the SB Platform; their servers; or electronic communication sent from Us are free of viruses or other harmful components.

12. Indemnity:

You hereby agree that You shall indemnify, keep indemnified and hold harmless SB, its owner, licensee, affiliates, subsidiaries, group companies (as applicable) and their respective officers, directors, agents, and employees, from any claim or demand, or actions including reasonable attorneys’ fees, made by any third party or penalty imposed due to or arising out of Your breach of this Terms of Use, privacy Policy and other Policies, or Your violation of any law, rules or regulations or the rights (including infringement of intellectual property rights) of a third party in any manner.

13. Limitation of Damages:

In no event shall SB or any of its subsidiaries or affiliates would be liable to any entity for any direct, indirect, special, consequential or other damages (including, without limitation, any lost profits, business interruption, loss of information or programs or other data on your information handling system) that are related to the use of, or the inability to use the service or products, the content, materials, and functions of this SB Platform or any linked online Platform, , unauthorized access to or alteration of the user's transmissions or data even if SB is expressly advised of the possibility of such damages.

14. Disclaimer:

The SB Platform may contain inaccuracies and typographical and clerical errors. SB expressly disclaims any obligation(s) to update this SB Platform or any of the materials on this SB Platform. SB does not warrant the accuracy or completeness of the Materials or the reliability of any advice, opinion, statement or other information displayed or distributed through the Platform. You acknowledge that any reliance on any such opinion, advice, statement, memorandum, or information shall be at your sole risk. SB reserves the right, in its sole discretion, to correct any errors or omissions in any portion of the Platform. SB may make any other changes to the SB Platform, the materials and the products, programs, services or prices (if any) described in the SB Platform at any time without notice. This SB Platform is for informational purposes and fulfilment of the purposes for which the SB Platform was developed by SB only and should not be construed as technical advice of any manner.

15. Jurisdiction

Unless otherwise specified, the material on the SB Platform is presented solely for the purpose of sale in India. SB make no representation that materials in the Platform are appropriate or available for use in other locations/Countries other than India. Those who choose to access this SB Platform from other locations/Countries other than India do so on their own initiative and risk and SB is not responsible for supply of products or for refund/cancellation etc. for the products ordered from other locations/Countries other than India, compliance with local laws, if and to the extent local laws are applicable.

16. Applicable Law:

These terms shall be governed by and constructed in accordance with the laws of India. The Courts of Mumbai (Maharashtra) shall have the exclusive jurisdiction over any dispute or difference.

17. DELIVERY TERMS AND CONDITIONS

1. An estimated delivery time is displayed on the order summary page for your purchase. After placing your order, you will receive an email along with a summary of the order placed on Sahyadri Biolabs (SB) Platform and also the estimated delivery time to your location. Each order may be delivered in more than one delivery slot as per the availability and convenience. Deliveries may be made from various retailers, our authorised distributors or directly from our Factory.
2. Though SB takes all efforts to deliver the products within estimated time displayed, does not guarantee the delivery on time which may be subject to various reasons as explained herein. Unless otherwise expressly agreed, you will not hold SB liable for delays due to shortage of product in the market, import delays from manufacturers, general holidays, strikes, natural calamities, vehicle breakdown etc. SB shall not be responsible for non-availability of the products, delay or any delivery warranties of Products listed on SB Platform due to force majure or any other reason beyond reasonable control including climatic conditions, labour unrest, insolvency, business exigencies, Government decisions, operational & technical issues, Epidemic or Pandemic or any other Act of God or condition which are beyond the reasonable control of SB.
3. User/purchaser of product needs to check and verify each product for its damages, expiry dates and quantity before receiving the products and acknowledging the orders. User understands that the image of the product is only for graphical.
4. The products will be delivered in 7-10 working days.
